Order Form Supplement for Miracle’s Microsoft Teams Integrations‍

These Terms of Use Order Form Supplement Terms (“Terms”) govern your access to and use of the Miracle Microsoft Teams application (the “App”) provided by Miracle Corporation (“Miracle,” “we,” “us,” or “our”).

This is a legally binding agreement. Please read it carefully. By clicking "I Accept", or installing or using the App, and/or any updates to the App provided by Miracle, you agree to the following terms, you represent that you have the authority to bind yourself or any entity you represent to these terms, and you represent that you are an authorized User under the Software and Services License Agreement (the “MSA”) between you and Miracle. If you do not have such authority, are not an authorized User, or do not agree to these terms, you may not install or use the App.

This Order Form Supplement is a part of each Order Form by which you ordered any Miracle service. The foregoing services are defined as “Miracle Services” for the purpose of this Order Form Supplement. If you are accessing or using the App as part of a Miracle customer subscription, then your organization’s MSA, Data Processing Addendum, or other agreement with Miracle governs your use of Miracle’s Services. This Order Form Supplement adjusts certain terms of the MSA, solely with respect to the App. The App, including software embedded in the App, is licensed, not sold, to you by Miracle only under the terms of the MSA, the DPA if applicable, the Order Form and this Order Form Supplement, and Miracle reserves all rights not expressly granted to you. Capitalized terms used but not defined in this Order Form Supplement have the meanings given to them in the MSA. The App operates in conjunction with Microsoft Teams, a third-party service not controlled by Miracle. Your use of Microsoft Teams is governed by your agreements with Microsoft. Miracle is not responsible for the availability, security, or performance of Microsoft Teams.

You may not without the express written permission of Miracle: (a) reverse compile, disassemble, decompile or engineer, copy, modify, adapt or create derivative works of or from the App or any part thereof; (b) make the App available to anyone other than you, or use the App for the benefit of, anyone other than you or your customers; (c) assign, transfer, sell, resell, license, sublicense, distribute, rent or lease the App, or include the App in a service bureau or outsourcing offering; (d) permit direct or indirect access to or use of the App in a way that circumvents any contractual usage limit; (e) copy the App or any part, feature, function or user interface thereof (except as expressly otherwise permitted under these Terms); or (f) access or use the App in order to build a competitive product or service.

Miracle may terminate this Order Form Supplement at any time upon 30 days’ notice to you without cause, or immediately upon notice to you if any third party (including, but not limited to, Microsoft, or your network connectivity provider) restricts, prevents or ceases to authorize the installation or use of the App on your device or over your network. In addition, this Order Form Supplement shall terminate immediately and automatically upon any termination or expiration of your subscription to the Miracle Services. Upon any such termination or expiration, you shall no longer be permitted to use the App, and shall delete or destroy all copies of the App in your possession. Termination or expiration of this Order Form Supplement shall not entitle you to any refund, credit, or other compensation from Miracle under the MSA or any other agreement or from any third party.

Miracle processes personal data in connection with the App in accordance with its Privacy Policy. You acknowledge and agree to Miracle’s privacy policy available at https://www.miracleml.com/legal/privacy-policy, as may be amended from time to time.

Miracle is solely responsible for providing maintenance and support for the App. Microsoft, your device’s manufacturer(s), and your network operator(s) have no obligation to provide maintenance and support for the App.

TO THE MAXIMUM EXTENT ALLOWABLE UNDER APPLICABLE LAW, THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIRACLE AND MICROSOFT DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MIRACLE DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIRACLE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE APP. IF YOU ARE USING THE APP UNDER THE MSA, MIRACLE’S LIABILITY WILL BE SUBJECT TO AND GOVERNED BY THE LIMITATIONS AND CAPS SET FORTH IN THE MSA. These

Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any disputes arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the city and county of San Francisco, California.

These Terms apply to all users who access or use the App, including users who discover the App through the Microsoft Teams App Marketplace. Nothing in these Terms limits any rights you may have under applicable law or under your agreements with Microsoft.
